Terms of Service (“Terms”) constitute a legally binding understanding between you and Ocelot governing your use of the Ocelot Point of Sale (POS) System.
2. Elements of Agreement
2.1 Entire Agreement: The agreement consists of these Terms of Service and any additional terms and conditions provided by Ocelot related to specific features, products, or services.
3. Acceptance of Terms
3.1 Acceptance: By accessing or using the Ocelot POS System, you agree to comply with and be bound by these Terms of Service. If you do not agree with these terms, please do not use our POS system.
4. Trial Period and Beta Features
4.1 Testing Phase and Prototype Features: Ocelot may offer trial periods or beta features of certain functionalities, for example:
• Free trial is 30 days.
• No charging during beta period
Ocelot is not responsible for any liabilities during the trial and beta features.
5. Prohibited Activities
5.1 Restricted Conduct: Prohibited activities include engaging in any conduct that may disrupt or interfere with the operation of the POS system, attempting to gain unauthorized access to our systems and engaging in fraudulent activities using the Ocelot POS System.
6. Integration with External Applications
6.1 Connection with Third-party Apps: You may have the option to integrate third-party applications or services with the Ocelot POS System. Your use of these external apps is subject to the terms and conditions of the respective third-party providers.
7. Fees and Payment Terms
7.1 Costs and Payment Conditions: Fees for the use of the Ocelot POS System, if applicable, will be specified in your agreement with Ocelot. Payment terms and methods will also be outlined in the subscription package.
8. Organizational Accounts and Administrators
8.1 Corporate Profiles and Supervisors: If you are using the Ocelot POS System on behalf of an organization, you represent that you have the authority to bind the organization to these Terms. Organization accounts may have designated administrators responsible for managing user access and permissions.
9. Personal Information and Privacy Policy
9.1 Data Collection: Ocelot collects and processes personal information in accordance with its Privacy Policy. By using the Ocelot POS System, you consent to the collection, use, and processing of your personal information as described in the Privacy Policy.
10. Communication from Ocelot
10.1 Correspondence Preferences: By using the Ocelot POS System, you may receive communications from us, including service announcements, administrative messages, and marketing communications. You can manage your communication preferences through your account settings.
11. Grievances
11.1 Customer Support: If you have any complaints or concerns regarding the Ocelot POS System or these Terms of Service, please contact our customer support team for assistance.
12. Account Inactivity Policy
12.1 Inactive Account Handling: Ocelot reserves the right to suspend or terminate inactive user accounts based on your Subscription preferences.
13. Data Ownership
13.1 Ownership Rights: You retain ownership of any data or content you upload or generate using the Ocelot POS System. Ocelot does not claim ownership of your data.
14. Hosting Location
14.1 Data Processing Location: Data processed through the Ocelot POS System may be stored and processed in various locations, including but not limited to servers located within your country or region.
15. User Generated Content
15.1 User-Created Content: You are solely responsible for any content you upload, post, or transmit through the Ocelot POS System. Ocelot does not endorse or control user-generated content and disclaims any liability arising from such content.
16. Demonstration Files and Applications
16.1 Illustrative Materials: Ocelot may provide demonstration files or applications for illustration or testing purposes. These materials are provided “as is” without warranty of any kind.
17. Trademark Usage
17.1 Trademark Guidelines: Ocelot and its logos are trademarks of Ocelot. You agree not to use Ocelot’s trademarks without prior written consent.
18. Disclaimer of Warranties
18.1 No Guarantee: The Ocelot POS System is provided “as is” without warranty of any kind. Ocelot disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
19. Limitation of Liability
19.1 Exclusion of Liability: Ocelot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Ocelot POS System.
20. Indemnity
20.1 Protection Clause: You agree to indemnify and hold Ocelot harmless from any claims, losses, or damages arising from your use of the Ocelot POS System or violation of these Terms of Service.
21. Governing Law and Jurisdiction
21.1 Applicable Law: These Terms of Service are governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Kenya.
22. Suspension and Termination
22.1 Account Suspension and Closure: Ocelot reserves the right to suspend or terminate your access to the Ocelot POS System at any time for any reason, including violation of these Terms of Service.
23. Modification of Terms of Service
23.1 Terms Revision: Ocelot reserves the right to update or modify these Terms of Service at any time. Any changes will be effective immediately upon posting on our website.
24. Conclusion of Terms of Service
These Terms of Service constitute the entire agreement between you and Ocelot regarding your use of the Ocelot POS System and supersede any prior agreements.
